These Terms of Use ("Terms") govern your use of the Nello iPhone app ("Nello" or "the app"), the Nello Pro subscription, and the website getnello.app. "We", "us" and "our" refer to Simone Salvucci, the developer of Nello ("Licensor"). "You" means the person using the app.

1. Agreement and license

By downloading or using Nello, you agree to these Terms. If you do not agree, do not use the app.

Nello is licensed, not sold, to you. Your license to use the app is granted under Apple's Licensed Application End User License Agreement (the "Standard EULA"), which is incorporated into these Terms by reference. These Terms add to the Standard EULA. If the two conflict, the Standard EULA applies to the extent of the conflict, except where these Terms give you more rights.

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to use Nello on any Apple-branded iPhone that you own or control, as permitted by the App Store's Usage Rules.

2. What Nello does

Nello reads the screenshots in your photo library on your device, recognizes the text in them, and sorts them into albums using automatic rules. It also lets you search their text, find details such as links and codes, and clean up duplicates.

Automatic sorting and text recognition are not perfect. Screenshots can be placed in the wrong album, text can be misread, and details can be missed. Do not rely on Nello as your only way of keeping track of important information, such as tickets, passwords, financial or medical records.

We may add, change or remove features over time, for example to improve the app or to keep up with changes in iOS.

3. Nello Pro subscription

Some or all of Nello's features require Nello Pro, an auto-renewable subscription purchased through the App Store.

• Price and period. Nello Pro costs $2.99 per month in the United States, or the equivalent price in your local currency as shown in the app and on the App Store before you buy. Prices may include applicable taxes.
• Payment. Payment is charged to your Apple ID account when you confirm the purchase.
• Automatic renewal. Your subscription renews automatically for another month unless it is canceled at least 24 hours before the end of the current period. Your account is charged for the renewal within the 24 hours before the current period ends.
• Managing and canceling. You can manage or cancel your subscription at any time in Settings › [your name] › Subscriptions on your iPhone, or from Manage Subscription in Nello's settings. Canceling stops future renewals; you keep access until the end of the period you have already paid for. Deleting the app does not cancel your subscription.
• Free trials and offers. If a free trial or introductory offer is available, its length and terms are shown before you subscribe. Unless you cancel at least 24 hours before the trial ends, the subscription starts and you are charged automatically. Any unused part of a free trial is forfeited when you purchase a subscription.
• Price changes. If the price of Nello Pro changes, Apple will notify you in advance and, where required, ask for your consent before renewing at the new price.
• Refunds. All purchases are processed by Apple, and we cannot issue refunds ourselves. To request a refund, visit reportaproblem.apple.com. Refunds are subject to Apple's policies and to any rights you have under local law.
• Restoring purchases. If you reinstall Nello or use a new iPhone with the same Apple ID, tap Restore Purchases in the app's settings or paywall.
• Family Sharing. Nello Pro is not shared with Family Sharing members.

4. Your screenshots

You keep all rights to your screenshots and photos. We do not receive them, and we claim no ownership of them. You are responsible for making sure you have the right to store and use the content in your photo library.

Some features, such as cleanup, let you delete screenshots from your photo library. iOS asks you to confirm each deletion, and deleted items go to your Recently Deleted album, where iOS keeps them for a limited time. Please review your selections before confirming. We recommend keeping regular backups of your iPhone.

5. Acceptable use

You agree not to:

• copy, modify, distribute, sell, or lease the app or any part of it;
• reverse engineer, decompile or attempt to extract the app's source code, except to the extent the law allows this despite this restriction;
• circumvent or interfere with the subscription or any security feature of the app;
• use the app for any unlawful purpose or in violation of any applicable law.

6. Intellectual property

The app, its design, the Nello name and logo, illustrations, text and software are owned by us or our licensors and are protected by intellectual property laws. These Terms do not give you any rights to them other than the limited license above. Apple, iPhone, iOS and App Store are trademarks of Apple Inc. Nello is not affiliated with, or endorsed by, Apple Inc.

7. Privacy

Our Privacy Policy explains what data Nello handles and how. In short: your screenshots and the text in them stay on your iPhone.

8. Disclaimer of warranties

To the maximum extent permitted by applicable law, Nello is provided "as is" and "as available", with all faults and without warranty of any kind. We disclaim all warranties and conditions, express or implied, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the app will be uninterrupted, error-free, or that it will correctly sort, recognize or find every screenshot.

Some jurisdictions do not allow these exclusions, so some of them may not apply to you. Nothing in these Terms limits your statutory rights as a consumer.

9. Limitation of liability

To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of or inability to use Nello, however caused. Our total liability for all claims relating to the app will not exceed the amount you paid for Nello Pro in the twelve months before the claim, or fifty U.S. dollars (US$50), whichever is greater.

These limits do not apply to liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, fraud, or, where applicable, gross negligence or intent. If you live in the European Union or the United Kingdom, we are liable as required by law for foreseeable loss caused by our breach of these Terms.

10. Termination

These Terms apply until terminated by you or us. You can terminate them at any time by deleting the app and canceling any active subscription. Your rights under these Terms end automatically if you fail to comply with them. When they end, you must stop using the app. Sections 4, 6, 8, 9, 12 and 14 survive termination.

11. App Store terms

Because you got Nello from Apple's App Store, you and we also agree that:

• These Terms are between you and us only, not with Apple. We, not Apple, are solely responsible for Nello and its content.
• Apple has no obligation to provide any maintenance or support for Nello.
• If Nello fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to Nello.
• We, not Apple, are responsible for addressing any claims by you or a third party relating to Nello, including product liability claims, claims that it fails to meet legal or regulatory requirements, and claims under consumer protection, privacy or similar laws.
• If a third party claims that Nello or your use of it infringes their intellectual property rights, we, not Apple, are responsible for the investigation, defense, settlement and discharge of that claim.
• You confirm that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms, and Apple has the right to enforce them against you.

12. Governing law

These Terms are governed by the laws of the country in which the Licensor is established, without regard to its conflict-of-law rules. If you are a consumer, you also benefit from any mandatory provisions of the law of the country where you live, and you may bring proceedings in the courts of that country.

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any right is not a waiver of that right.

13. Changes to these terms

We may update these Terms from time to time. We will post the new version on this page and update the date at the top. If changes are significant, we will let you know in the app. By continuing to use Nello after changes take effect, you accept the updated Terms.
